Terms and Conditions of Service
BackLinks Genius is an advertising system that connect bloggers with advertisers in an online platform, where advertisers can buy text links to their website on blogger blogs in articles/posts or other suitable content (hereafter referred to as the "Service").
Please carefully read THESE TERMS AND CONDITIONS related to BACKLINKS GENIUS and SERVICE use (hereafter referred to as the "Agreement") provided by BackLinks Genius Ltd, incorporated at 2 Tintagel Close, Rushden, Northamptonshire, United Kingdom (hereafter referred to as the "Company"). If you agree with these terms and conditions as listed here, you can sign up for the Service (hereafter referred to as "BG"). If you do not agree with the terms and/or conditions listed below, you cannot use the Service. Each time you use the Service, the most current version of the Terms and Conditions of Service will apply.
The Terms and Conditions of Service will be available at all times at BG websites www.backlinksgenius.com, www.backlinksgenius.cz, www.backlinksgenius.sk and at BG application / administration / client area https://www.backlinksgenius.com (hereafter referred to as the "Platform") and are owned and operated by the Company, which provides access to you (hereafter referred to as the"Customer", „Advertiser", „Blogger", „Affiliate", under the following conditions below.
In this Terms and Conditions of Service:
"Advertiser" means collectively any person or entity who participates in the Service with the aim of buying text links, and who is a Customer of BG."Blogger" means collectively any person or entity who participates in the Service with the aim of making money on his or her own website/blog and who is a Customer of BG."Affiliate" means collectively any person or entity that directly or indirectly controls any Advertiser or Blogger and/or that is looking for Advertisers or Bloggers who will sign up for and use the Service and that is a Customer of BG."Link" is a hypertext internet address (URL/URI) that direct to Advertiser website/blog/domain etc. Links are do-follow and text only.
1. Restrictions on participation
Persons who are in any way connected and / or working for any search engines may not register with BG. They can not use or authorize another person to register with BG and use the Service by any way.
2. Confidentiality regulations
Under no circumstances shall Customer disclose and share information about other customers, especially their URLs, links, keywords, domain names, e-mails and IP addresses of websites.
3. Description of services
The Company sells internet advertising space (as Links) on Bloggers blogs (websites) to Advertisers. BG Service is only online Platform, which mediates between Blogger´s and Advertiser´s demands. Nothing more, nothing less, is provided. No promises or guarantees to anyone. Sold "as is".
4. Marketing
BG reserves the right to send advertising/business/newsletter/system messages via e-mail to customers who using Service. Customer has the right to unsubscribe from receiving e-mails at any time. BG will never sell any of Customer´s e-mail address.
5. Billing
A. Advertiser sends money to the BG account via a bank transfer (not available in all countries), PayPal payment, credit/debit card, or Moneybookers payment. The Advertiser does so only after receiving a call for payment from the BG system. The minimum payment is $50 (or the equivalent in other currencies). The Advertiser enter a linkbuilding campaign and set a daily spending limit. Once BG receives the payment, the Advertiser receives the necessary tax receipt, thereby completing the transaction. Only once the transaction is completed can the backlinks be published on Blogger blogs.
B. The Blogger and Affiliate have the right to apply for pay out (i.e., cash transfer) to be sent to the bank account (not available in all countries) or PayPal account on record once the minimum amount of $50 (or equivalent in other currencies) is met. No additional charges apply. Payouts are sent within 7 working days of the request for payout date. BG maintains a virtual temporary account for each Blogger, where funds for publishing backlinks on Blogger blogs are credited and then it can be paid out.
C. BG gives Bloggers a minimum of 60% of the amount that Advertisers pay for BG´s services. BG awards Affiliates a percentage of funds generated from Advertisers and paid to Bloggers—namely, 10% of affiliated Advertisers and 5% of affiliated Bloggers (first level) as well as 3% of affiliated Bloggers (second level). Percentages are based on completed transactions and funds paid out by BG.
6. Management services
The Customer is obliged to follow the requirements of BG in terms of accuracy of information provided by BG Customers. Customers must comply with proper technical requirements. All relevant information can be found on the BG website or in the BG client area. The Company has the right to suspend the Customer access / account to BG Services and applications at any time without any compensation / return if the Customer break any of Terms and/or Conditions of Service.
7. Copyright
The Customer acknowledges that the BG website and web applications are protected by applicable copyright laws and that the customers can only use them while observing the relevant copyright laws. The Customer also acknowledges that the content of the website is original and not copied from other sites, just the author or the copyright or license rights to that content.
8. Application
The Customer may not use BG or its website for any purpose that is illegal, infringing, obscene, defamatory, racist or offensive in any way. The Customer is legally responsible for providing the content and data, both to BG and third parties. Customer agrees not to promote the Company and BG or the use of any illegal and unethical methods such as SPAM, which are illegal and / or damaging to the Company reputation nor may he use it for any other activities similar to spam. The Customer will be extended through the use of BG in any way, computer viruses, such as malware, adware, spyware.
9. Exclusivity regulations
A. Bloggers are not allowed to change the PHP script, which provides good links to upload content and advertisers may also use other advertising systems, which modify the HTML code used to publish articles on the website. At the same time, the Blogger acknowledges that the articles provided on its web site are included directly on the website and not through the so-called frames / iframes / javascript.
B. Advertiser is aware, that the Articles of Bloggers can be found as links to competitors of the Customer and BG and therefore the Company can not guarantee exclusivity. Number of advertising BG links in one article is limited to a maximum of 5. This figure does not include other promotional links that Blogger may put into the article.
10. Disclaimers
A. The Company has no obligation to monitor the content that the Customer or someone else provided to the BG and the Company does not guarantee the accuracy of any content on the Customers Web sites. Customer assumes all risks associated with the published content.
B. Services provided to Customer are provided "as is" without warranty of any kind, either express or implied, for example, without any warranties of merchantability or continuity or income level. COMPANY is not liable for the results and possible implications of the use of Service.
C. In the event that the Company establishes and/or believes that the impression that the Customer provides is against the copyrighted content, or if he violates other laws, providing obscene, defamatory, racist, or offensive content in any way, then the company reserves the right, and thus deprives the confidentiality or liability, notify the authorities of law enforcement.
D. BG has the right to reject any Customer without any explanation.
E. Bloggers are warned, that provided content should be unique, so no duplicated / stolen / parsed from another website. BG do not allow blogs, that are primary for making money through BackLinks Genius by it´s automatic content / copied content / duplicated content or it´s parts from other blogs or websites, or content that was bough on article databases. All blogs / websites and their subpages that are used for placing links through BG Service must have enabled indexation for web robots, must be already indexed by major search engines and all placed links must be do-follow, The Company has the right to terminate these blogs and delete the blogger account without any refunds and apply a fee up to 100% from earned amount to Blogger earnings in BG.
11. Disputes
A. Advertiser agrees that so long as Blogger has met all requirements and published (or it is done through Platform) the Link, he will not want to return payment for the Link back. Advertiser may not discriminate Blogger based on aesthetics, grammar, blog layout or the racial, physical, political, spiritual, age, gender or sexual orientation characteristics of the Blogger. If Advertiser has some disputes for the post/article where is his Link placed, he can use provided Blocked domain function and that domain will not be used anymore for placing Links.
12. Limitation of Liability
The Company wholly and without reservation waives any compensation, impact, limits compensation to Customers and / or third parties both in terms of financial and in terms of criminal and ethics laws. If you disagree, you are not entitled to use the BG system and Service for any purpose.
13. Confidentiality
Customer agrees that he shall not reveal any confidential information to anyone without written consent. Such confidential information includes, without limitation, all business software, technology, programming, technical specifications, materials, guidelines, and any other information considered by the Company as "confidential" or with the same effect. Does not include information that has become publicly known through no breach by the Customer or the Company. Customer also agrees, that he will never oppose to Company in a public, i.e. write/say false statement about Company and/or the Service.
14. Termination
Either party may terminate the Service at any time by notifying the other party. Any fees paid by the Customer or the Company are non-refundable. Termination of this contract is not a consequence of the expiry of the above items 7, 10, 11, 12 and 13. The Company reserves the right to cancel a Customer´s account if the Customer´s account inactivity lasts longer than 6 months and BG will apply fee for cancellation of this account in the remaining balance amount. If Customer violates terms of the contract (s), the customer waives his right to claim payment of all charges and fees, whether in the form of credit, or in the form of money, accounts of the Company.
15. Arbitration
Any dispute and / or claim arising out of this contract shall be settled by arbitration court, which will be held in London, United Kingdom, in accordance with the rules of the British Arbitration Association.
16. Miscellaneous
Not passed right under the Contract in the event of any violation of these provisions does not mean that you can violate other provisions and / or not enforced the law of another. The Company is not responsible for any failure to comply with its obligations under this contract. This Agreement may not re-assigned or sub-licensed to third parties. This Agreement shall be governed by the applicable laws of the United Kingdom without regard to conflict of laws. All parties agree that this Agreement is complete and supersedes all prior written and verbal agreements, communications and other agreements related to the subject matter of this Agreement. All modifications must be in written form and signed by both parties.
